Issues Involved in the Acquisition of U.S. Companies

Brief Introducation of the speaker:

William Rosoff joined the firm’s New York office in January 2009 as a Member in the Business Law Department. Previously, he was a partner with Davis Polk & Wardwell and with O’Melveny & Myers LLP in New York.

Bill practices in the mergers and acquisitions group, focusing on the Structuring and negotiation of complex mergers, hostile takeovers, cross-border acquisitions, and joint ventures. He also handles infrastructure projects and transactions.

Bill has also served as senior vice president and general counsel of Marsh & McLennan Companies, Inc., and of RJR Nabisco, Inc. Bill is a member of the Chartered Institute of Arbitrators and is on The General Counsel Panel of Distinguished Neutrals of the International Institute for Conflict Prevention and Resolution (CPR). He is also a CPR-certified mediator."

Bill is a director of the SPARTA Insurance Company.

Bill earned his law degree, magna cum laude, from Harvard University, His Ph.D. from the University of California at Berkeley, and his Undergraduate degree from Columbia University.

Representative Corporate Experience Over his many years of practice, Bill has represented:

•Orient Overseas (International) Limited – Sale of four marine terminal to the Ontario Teachers Pension Plan.

•Aoki Corporation – Sale of Westin Hotels to Starwood, and in the negotiations to purchase Swisshotels.

•Bass plc – Sale of Holiday Inn hotels to, and investment in, Bristol Hotel Company, as well as the acquisition of Intercontinental Hotels.

•Johnson & Johnson – Acquisition of Kodak’s clinical diagnostic business.

•Texaco – Acquisition of Monterey Resources.

•Sun Company – Spin off of Sun Energy Co.

• Murphy Oil Company – Spin off of its Deltic Timber subsidiary and in its buyout of the public minority of Ocean Drilling Company.

•Saint Gobain – Acquisition of the glass container business of Ball

And Pechiney.

•Norton Company – Defense against hostile bid by BTR and sale to Saint Gobain.

• Nikko Securities – Investment in Blackstone Group.

• Fukutake Publishing Co. – Acquisition of Berlitz.

• Hudson Foods – Acquisition by Tyson Foods.

• Nabisco Holdings – Sales of Nabisco to Kraft Foods, and Nabisco Holdings to Reynolds Tobacco Co.

•SAIC – Sale of Network Solutions subsidiary to Verisign.
